As used in these Terms, each prospective buyer or seller who participates in any transaction is a “Participant.” The terms “Pinnaclepathhome.com,” “Seller,” and “Participant” shall also refer to the respective principals, agents, and affiliates of each. The “Winning Participant” is the Participant that (a) submits the highest acceptable offer in a buying or selling transaction and is acknowledged by Pinnaclepathhome.com by email or telephone as the winning participant, or (b) submits an offer during any transaction that is accepted by the Seller. As used in these Terms, each offer submitted in any transaction is an “Offer.” Pinnaclepathhome.com conducts transactions solely on behalf of the Seller and is not acting as an agent for any Participant in any capacity. By registering for a transaction or submitting an Offer at www.Pinnaclepathhome.com or any other Pinnaclepathhome.com website (“Website”), the Participant acknowledges having read and accepted these Terms. By submitting an Offer on a Property, the Participant is deemed to have accepted any additional terms and conditions posted on the Property’s details page on the Website (“Property Page”) at the time the Offer was submitted, and such terms and conditions shall govern and control over these Terms to the extent of any conflict. Pinnaclepathhome.com’s <a href="www.Pinnaclepathhome.com/terms.php">Website Terms of Use</a> and <a href="www.Pinnaclepathhome.com/privacy.php">Privacy Statement</a> are incorporated into these Terms by reference.</p> <h3>1. ACCOUNT CREATION AND REGISTRATION PROCESS</h3> <p style="line-height: 1.5;"> Users (“Participants”) may create an account on the platform to access services related to property buying and selling. DUE DILIGENCE & DOCUMENTATION REVIEW</h3> <p style="line-height: 1.5;"> <b>Review of Purchase Documents</b><br/> Before making an offer on any property listed on our platform, users (“Participants”) are expected to thoroughly review all relevant transactional documents associated with the property. These may include the purchase and sale agreement, required addenda, seller disclosures, and other applicable documents (collectively, “Purchase Documents”). All offers submitted must be made in accordance with the terms outlined in these documents. Unless otherwise specified on the property’s listing page, the Purchase Documents are final and non-negotiable.<br/><br/> <b>Participant Due Diligence Obligations</b><br/> Participants are solely responsible for conducting independent due diligence on any property they are considering for purchase. This includes, but is not limited to, investigation into the property’s legal status, physical condition, structural attributes, environmental factors, financial viability, title status, and any encumbrances or claims. Participants must coordinate directly with the property lister (“Seller”) to arrange property access for inspections, where possible. In cases where physical access is restricted or not available, Participants are expected to base their offers on available documentation and their own risk assessment.<br/><br/> <b>Use of Property Information</b><br/> Property details displayed on the platform are aggregated from multiple sources and have not been independently verified by us. All information is provided strictly on an “as-is” and “as-available” basis, with no warranties or guarantees. Participants may use this information only for purposes customary to real estate transactions and within the scope of their professional or personal decision-making. It is highly recommended that Participants consult with licensed real estate professionals, legal counsel, financial advisors, and other specialists prior to submitting an offer.<br/><br/> <b>Liability and Indemnity for Property Inspections</b><br/> Participants assume full responsibility for any loss, damage, liability, or cost—direct or indirect—that arises from property visits, inspections, or investigations. By engaging in such activities, Participants agree to indemnify, defend, and hold harmless both the Seller and the platform (including its affiliates, agents, and partners) from any related claims, liabilities, or expenses. Participants must ensure they maintain appropriate insurance coverage to protect against any such risks. </p> <h3>3. BUYING PROCESS</h3> <p style="line-height: 1.5;"> <b>Irrevocability of Offers</b><br/> All offers submitted through the platform are considered binding and irrevocable, unless the platform explicitly provides an option for offer withdrawal or such right is granted in writing. Buyers should ensure full intent and financial readiness before submitting an offer.<br/><br/> <b>Execution of Purchase Documents</b><br/> Once an offer is accepted by the Seller, the final purchase documents will be sent to the Buyer via email for electronic signature. Buyers intending to purchase under a legal entity may also be required to submit entity formation documents, authorization resolutions, or other supporting paperwork as part of the transaction.<br/><br/> <b>Buyer’s Fee</b><br/> Certain property listings may indicate that a Buyer’s Fee or transaction fee applies. All offers on Short Sale properties are contingent upon the approval of the lien holders involved. If the Seller is unable to secure the necessary approvals, the transaction will be cancelled and the Buyer’s Earnest Money Deposit will be returned in full. </p> <h3>4. OFFER TERMS AND SELLER DISCRETION</h3> <p style="line-height: 1.5;"> <b>Seller’s Minimum Price (Reserve Price Equivalent)</b><br/> Unless otherwise indicated, each property listed on the platform may have a minimum acceptable sale price set by the Seller (the “Seller’s Minimum Price”). Sellers are not obligated to accept any particular offer and may continue to entertain offers until a final agreement is executed.<br/><br/> <b>Multiple Offers and Offer Timing</b><br/> If multiple offers are received on a property, the Seller has full discretion to select which Buyer, if any, to move forward with. Offers may be reviewed in the order received, but Sellers are not required to accept the highest or first offer. Buyers should be aware that Sellers may allow time for competing offers before making a decision, and the platform may include offer expiration timeframes to encourage timely negotiations.<br/><br/> <b>Time-Limited Offers and Expiration</b><br/> Offers may remain open for a specific period of time as set by either the Buyer or the platform. If an offer is not accepted, countered, or otherwise acted upon by the Seller within that time period, it will automatically expire and be considered withdrawn. Sellers also reserve the right to withdraw any pending offers at any time prior to executing a binding agreement.<br/><br/> <b>Non-Binding Offer Stage</b><br/> Submission of an offer, receipt of a counteroffer, or initial acceptance communicated through the platform does not constitute a binding sale. If required, Buyers may need to complete a brief registration or submission form to express interest.<br/><br/> <b>Extension of Offer Review Period</b><br/> Sellers may extend the time period to review or negotiate offers at their discretion. The platform may also allow for extended negotiation windows to accommodate competitive interest or internal Seller review processes.<br/><br/> <b>Seller Approval Required</b><br/> Some property transactions may be labeled as “Subject to Seller Approval.” In these cases, even if an offer is initially accepted, it remains contingent on final approval by the Seller or a relevant third party (e.g., a lender or investor). If approval is not granted, the Buyer will be notified, and any applicable deposits or fees will be returned. </p> <h3>5. If a property is located in California, California law may apply to that specific transaction.<br/><br/> <b>Disclaimers and Legal Compliance</b> All content published on the website—including brochures, emails, postcards, or property pages—is provided for informational purposes only and shall not constitute an offer to sell or a solicitation of an offer to buy any property, unless expressly stated otherwise. Offers made or accepted on the platform are void where prohibited by applicable law.<br/><br/> In any transaction, a Seller is not legally obligated to sell a property until:<br/><br/> 1. For certain property listings, a cooperating broker commission or referral fee may be available. Details regarding broker or agent compensation—if offered—will be clearly specified on the applicable Property Page. Unless explicitly stated in writing for a specific property, no cooperating broker commission or referral fee will be paid.<br/><br/> <b>Submitting Offers on Behalf of a Buyer</b><br/> Licensed brokers and agents may, where permitted, submit offers on behalf of a buyer, provided that the broker/agent has been registered with the buyer’s information prior to offer submission. By doing so, the broker/agent:<br/><br/> 1. <b>Represents and warrants</b> that they have obtained full authorization from the buyer to act on their behalf and have met all legal and regulatory requirements to do so;<br/><br/> 2. <b>Acknowledges</b> that any offer submitted on the buyer’s behalf will be binding on both the buyer and the broker/agent to the same extent as if the buyer had submitted the offer directly;<br/><br/> 3. <b>Agrees to indemnify and hold harmless</b> the platform from any liability or claims arising from inaccuracies, misrepresentations, or unauthorized actions related to the offer.<br/><br/> <b>Broker Responsibility</b> Participants are solely responsible for ensuring that any brokers or agents representing them are properly registered and authorized. If a broker or agent claims a commission or fee, it is the Participant’s obligation to ensure that all relevant agreements are in place.<br/><br/> Participants agree to indemnify and hold harmless the platform from any disputes, claims, or liabilities asserted by brokers or agents acting on their behalf. </p> <h3>7.
